What it is

A private limited company (प्राइभेट लिमिटेड) is a separate legal person under the Companies Act 2063. It can own property, sign contracts and sue in its own name. Its shareholders are only liable up to their share capital. It can have one shareholder or up to 101.

Registration is done online through the Company Registrar's CAMIS system. The minimum authorised capital is Rs 1 lakh, with a registration fee of Rs 1,000. After registration the company has ongoing duties: a PAN before trading, tax returns every year and an annual return to the Company Registrar.

  • Anyone starting a business they want to run as a separate legal entity with limited liability.
  • A private limited company can have a single shareholder and up to 101.

How it works

    Create a CAMIS account

    Register on the Company Registrar's online system at camis.ocr.gov.np to get a username and password.

  2. 2

    Get the name approved

    Choose a name that doesn't match any existing company and submit it with the company's objectives for approval.

    Submit the documents

    Once the name and objectives are approved, upload the memorandum, articles and other documents through CAMIS.

    Pay the registration fee

    The fee depends on authorised capital. It's Rs 1,000 up to Rs 1 lakh, which is also the minimum authorised capital.

    Collect the certificate and get a PAN

    Collect the registration certificate and a stamped copy each of the memorandum and articles. Then get the company's PAN from the Inland Revenue Office before you start trading.

Common problems

Can I start trading as soon as it's registered?

A private limited company can, unlike a public company, which needs separate permission. If your business needs a licence from another body, such as the Department of Industry, Nepal Rastra Bank or the Insurance Authority, get that first and tell the Company Registrar within 15 days of receiving it.

Can someone else register it for me?

Yes. A shareholder, director or any trusted person or consultant can do it with your written authority.

There's a foreign shareholder.

You also need the investment approval from the relevant body, such as the Department of Industry, plus the foreigner's certified passport copy. For a foreign company shareholder, add its registration certificate and board decision.

I have a sole proprietorship. Can I turn it into a company?

Yes. Add an agreement among the founders about the conversion and the renewed firm registration certificate.
